BrightOps Commercial Software License

DRAFT — this text has not been reviewed by a lawyer. It states the intended terms so customers know what they are buying; have counsel review it before it is relied on. Items in [square brackets] are decisions or details still to be filled in.

This license covers the software packages published under the @brightops npm scope (the "Software"), including @brightops/model-router, by [BrightOps / Sundar Shrestha] (the "Licensor"). Every copy of the Software is marked "license": "UNLICENSED" in its package.json; that marker means all rights reserved under this license, not that no license exists.

By downloading, installing, or using the Software you (the "Customer") accept these terms. If you do not accept them, do not download, install, or use the Software.

1. Definitions

  • Developer: a natural person who writes, edits, builds, tests, or debugs code that imports or depends on the Software.
  • Seat: the right for one Developer to use the Software.
  • License Key: the key (bo_…) issued to the Customer that authorises downloads from the Licensor's store.
  • Subscription Term: the period the Customer has paid for, or the trial period, as shown by the License Key's expiry date.

2. License grant

Subject to payment of the applicable fees and to these terms, the Licensor grants the Customer a non-exclusive, non-transferable, non-sublicensable license, for the Subscription Term, to:

  • (a) download the Software from the Licensor's store using the License Key;
  • (b) install and use the Software on any number of workstations, build servers, and continuous-integration systems, provided that the number of Developers who use the Software does not exceed the number of Seats purchased;
  • (c) incorporate the Software into the Customer's own applications and services and deploy those applications, including to the Customer's end users, with the Software included as a dependency.

3. Trial

A trial License Key grants the rights in section 2 for evaluation only, at no charge, for the trial period shown on the key ([30] days by default). At the end of the trial the Customer must either purchase a subscription or stop using the Software and delete all copies obtained under the trial.

4. Restrictions

The Customer must not, and must not allow anyone else to:

  • (a) publish, upload, or mirror the Software to any public or third-party package registry (including npmjs.com), or otherwise redistribute the Software on its own, in source or built form;
  • (b) share the License Key or download links with anyone outside the Customer's organisation;
  • (c) sublicense, sell, rent, lease, or lend the Software;
  • (d) remove or alter any license, copyright, or attribution notice in the Software;
  • (e) use the Software to build a product or service whose primary purpose is to provide the Software's functionality to third parties as a library or hosted substitute for the Software;
  • (f) reverse engineer, decompile, or disassemble the Software except to the extent that applicable law expressly permits despite this restriction.

Section 2(c) is not limited by 4(a): deploying the Customer's own application that depends on the Software is allowed; redistributing the Software itself as a package is not.

5. Seats

Seats are counted per Developer, not per machine. The Licensor's store records downloads made with each License Key. No more than once in any twelve-month period the Licensor may ask the Customer to confirm in writing the number of Developers using the Software; the Customer will purchase additional Seats within thirty days if that number exceeds the Seats held.

6. Fees, term, and renewal

  • Fees are those quoted at the time of purchase. The starting list price is [USD 290] per Developer per year; the store publishes current pricing at /v1/pricing.
  • The Subscription Term is [twelve months] unless otherwise stated, starting on purchase or at the end of a trial, whichever is later.
  • The Customer may renew before or after expiry. A renewal extends the same License Key, so existing install links continue to work.
  • Fees are non-refundable except where the law requires otherwise.

7. Expiry and termination

  • When the Subscription Term ends without renewal, the License Key stops authorising downloads from the store.
  • [DECISION FOR COUNSEL AND LICENSOR — choose one: (A) Perpetual fallback (this draft's default for paid subscriptions): copies of versions released during a paid Subscription Term that the Customer already downloaded may continue to be used under these terms after expiry, but no new versions or new downloads are available until renewal. (B) Stop on expiry: all use must stop and all copies must be deleted when the Subscription Term ends.] Trial copies must always be deleted when the trial ends without purchase.
  • The Licensor may terminate this license immediately by written notice if the Customer materially breaches it, in particular sections 4 or 5. On termination the Customer must stop using the Software and delete all copies.
  • Sections 4, 8, 9, 10, and 12 survive expiry or termination.

8. Ownership

The Software is licensed, not sold. The Licensor and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. No rights are granted except those expressly stated in this license.

9. Warranty disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT IT WILL MEET THE CUSTOMER'S REQUIREMENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS LICENSE OR THE SOFTWARE. THE LICENSOR'S TOTAL LIABILITY UNDER THIS LICENSE WILL NOT EXCEED THE FEES THE CUSTOMER PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Support and updates

No particular support level is promised. Versions of the Software released during the Subscription Term may be downloaded with the License Key. The Licensor may change the Software's features between versions.

12. General

  • Governing law and venue: [to be chosen by the Licensor's counsel].
  • Entire agreement: this license is the entire agreement about the Software and replaces any earlier terms. A purchase order or quote may name the Seats, price, and term but cannot change these terms unless the Licensor signs it.
  • Assignment: the Customer may not assign this license without the Licensor's written consent, except to a successor of its whole business who accepts these terms.
  • Severability: if a provision is unenforceable, the rest remains in force.
  • Notices: by email to the address on the license record (Customer) and to [support email in store.config.json] (Licensor).
